01 Definitions

• "Product" means any digital good we sell, including WordPress plugins, templates, UI kits, and related files.
• "License Key" means the unique CKIT-XXXX-XXXX-XXXX-XXXX code issued after purchase, used to activate a Product on a domain.
• "You" or "Customer" means the individual or entity that accesses the Site or purchases a Product.
• "Order" means a completed purchase processed through our checkout.

02 Eligibility & Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to make a purchase. If you create an account, you are responsible for keeping your login credentials secure and for all activity that occurs under your account. You agree to provide accurate, current, and complete information.

03 Products & Digital Delivery

All Products are digital goods delivered electronically. After your Order is confirmed, your download files and License Key become available in your account at codifykit.com/my-account and are sent to your billing email address. No physical item is shipped.

We make reasonable efforts to keep Product descriptions, screenshots, and feature lists accurate, but we do not warrant that they are error-free or that a Product will meet every specific requirement you may have.

04 License Grant & Permitted Use

CodifyKit Products that contain WordPress code are licensed under the GNU General Public License v2 or later (GPLv2+), as required for WordPress derivative works. Your purchase grants you:

• Access to download the Product files;
• A License Key to activate the Product and receive automatic updates and support for the period stated on the Product page;
• The right to install and use the Product on the number of domains permitted by the license tier you purchased (the "activation limit").

Each activation is tied to a single domain. You may deactivate a license to free up an activation slot and re-use it on another domain, subject to the activation limit.

05 License Activation & Validation

Products may include a license validation system that periodically verifies your License Key against our servers to confirm it is valid, active, and within its activation limit. By using a Product, you consent to this validation, which may transmit your domain name and License Key to codifykit.com for verification purposes.

If a License Key is found to be invalid, expired, revoked, or used beyond its activation limit, licensed features may be disabled until the issue is resolved. Core functionality required for data integrity will not delete your existing content.

06 Restrictions

Except as expressly permitted by the applicable license, you agree not to:

• Resell, redistribute, sublicense, or publicly share your License Key;
• Misrepresent a Product as your own original work when offering it to third parties;
• Use the Site or Products for any unlawful, fraudulent, or infringing purpose;
• Attempt to circumvent, disable, or tamper with the license validation system in order to obtain updates or support without a valid license;
• Access the Site through automated means that place an unreasonable load on our infrastructure.

07 Intellectual Property

The CodifyKit name, logo, branding, Site design, written content, and graphics are owned by us and protected by applicable intellectual property laws. The GPL license that applies to plugin code does not grant you rights to our trademarks, brand assets, or non-code materials. You may not use our branding in a way that implies endorsement or affiliation without our written permission.

08 Orders, Pricing & Payment

All prices are listed on the Product pages and are payable in full at the time of purchase. We may change prices at any time, but changes will not affect Orders already completed. Payments are processed by third-party payment providers; we do not store your full payment card details. You are responsible for any taxes, duties, or currency conversion fees that may apply to your purchase.

09 Refunds

Because Products are digital goods delivered immediately, refunds are handled in accordance with our Refund Policy, which forms part of these Terms. Please review it before purchasing.

10 Updates & Support

Where a Product includes updates and support, these are provided for the duration stated on the Product page (for example, lifetime or a fixed term) and require an active License Key. Support covers installation help, bug fixes, and reasonable usage questions. It does not include custom development, third-party plugin conflicts beyond our control, or modifications you make to the Product code.

11 Third-Party Services

Products may rely on or integrate with third-party software such as WordPress, WooCommerce, or external services. We are not responsible for the availability, behavior, or changes of any third-party software, and your use of such software is governed by its own terms.

12 Disclaimer of Warranties

Products and the Site are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that a Product will be uninterrupted, error-free, or compatible with every environment, theme, or plugin combination.

13 Limitation of Liability

To the maximum extent permitted by law, CodifyKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits arising from your use of, or inability to use, a Product or the Site. Our total aggregate liability for any claim shall not exceed the amount you paid for the Product giving rise to the claim.

14 Indemnification

You agree to indemnify and hold CodifyKit harmless from any claims, damages, or expenses arising out of your misuse of a Product, your violation of these Terms, or your infringement of any third-party rights.

15 Termination

We may suspend or terminate your access to the Site or a License Key if you materially breach these Terms, including by sharing or reselling your License Key or attempting to bypass license validation. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will continue to apply.

16 Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Material changes will take effect when posted on this page. Your continued use of the Site or Products after changes are posted constitutes acceptance of the revised Terms.

17 Governing Law & Disputes

These Terms are governed by the laws of Flat5, 11 Talbot square, London, W2 1TR, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts of Flat5, 11 Talbot square, London, W2 1TR.
